About these Terms
Thank you for your interest in participating in the CRC Rewards Program (“CRC Rewards Program”). These terms and conditions (“Terms”) set out the rules which govern participation in the CRC Rewards Program, including a description of the eligibility criteria and how and when rewards are distributed.
These Terms are in addition to, and do not otherwise affect, the Terms of Service which govern the use of the App and our Services, which are available here.
Defined terms set out in the Terms of Service shall have the same meaning when used in these Terms, except to the extent defined herein.
In the event of a conflict or inconsistency between these Terms and the Terms of Service, the provisions of these Terms shall prevail and govern solely with respect to any matter relating directly to the CRC Rewards Program. For all other matters, the Terms of Service shall prevail and govern.
Who We Are
Gnosis Ecosystem (Cayman) Ltd ("we" or "us" or "our") operates the CRC Rewards Program in connection with the App. We are a private limited company registered in the Cayman Islands and have our registered office situated at the offices of Leeward Management Limited, PO Box 144, 3319 9 Forum Lane, Camana Bay, George Town, Grand Cayman KY1-9006, Cayman Islands.
1. User Eligibility
Participation in the CRC Rewards Program is only available to persons (a) who create, operate and/or manage a self-custodial Safe wallet on the App and (b) who have an Active Account (as defined below) with Gnosis Pay and have connected their Gnosis Pay account to the App (“Users”).
For the purposes of these Terms, references to “Active Account” means a Gnosis Pay account (including an active Gnosis Pay card) which has not been frozen, suspended, closed, deactivated or terminated.
We may update the eligibility criteria from time to time. Failure to meet or maintain such eligibility criteria will disqualify the User from participation and any receipt of CRC Rewards, and such determination shall be made in our sole and absolute discretion.
2. Acceptance of Rules
By connecting a Gnosis Pay account to the App, creating a Gnosis Pay account and ordering a card via the App, or otherwise participating in the CRC Rewards Program, each User: (a) agrees to be bound by these Terms, which are final and binding in all respects; (b) acknowledges compliance with these Terms; and (c) agrees to comply with any and all applicable federal, state and local laws, rules and regulations.
By participating in the CRC Rewards Program, Users acknowledge that we are the data controller for personal data processed in connection with the CRC Rewards Program and agree to us processing their personal data in accordance with the Privacy Policy as published on the Site at this link. The Privacy Policy provides details on what data is collected, how it is used, data retention, international transfers (and safeguards used), processors, and Users’ rights (including the right to access, correct, delete, restrict processing, data portability, and to lodge a complaint with the supervisory authority).
3. Rewards, Duration & Pool
“CRC Rewards” refers to rewards paid out in tokens denominated in CRC and distributed to eligible Users’ Safe wallet as an incentive or benefit in connection with their use of the App.
The CRC Rewards Program will begin and conclude on such dates, times, and terms determined solely by us in our sole and absolute discretion (“Rewards Period”).
The CRC Rewards Program is funded by the “CRC Rewards Pool”, which means the total allocation of CRC tokens that we make available from time to time for the purpose of distributing CRC Rewards to eligible Users. This pool is provisioned through various methods, including the allocation of certain fees generated from features on the App and grants or allocations of assets to support the Rewards Pool or any additional means that we may establish or approve from time to time. Users acknowledge and accept that the CRC Rewards Pool is managed at our sole discretion, and we reserve the right to cease funding or replenishing the pool at any time. There is no promise, representation, or guarantee that the CRC Reward Pool will remain available, be replenished, or be sufficient to provide ongoing CRC Rewards for any period.
4. Automatic Enrolment & Participation
Participation in the CRC Rewards Program is automatic for all Users who meet the eligibility criteria set out in Section 1. There is no separate registration or "opt-in" procedure required. Enrolment is triggered automatically when a User: (a) connects an existing Gnosis Pay account to the App; or (b) creates a Gnosis Pay account and orders a card via the App.
In addition to satisfying the eligibility criteria, Users may need to complete any steps or requirements detailed in the App from time to time. This may include, but shall not be limited to:
Maintaining any required token ownership or related eligibility (“Token Holding“); and/or
Complying with any qualification tiers, caps, and reward criteria as reflected on the App.
Users will automatically accrue CRC Rewards on eligible card transactions. As the CRC Rewards Program is part of the App’s offering for Gnosis Pay cardholders, there is no specific procedure to voluntarily "opt-out" of the CRC Rewards Program.
If a User terminates their Gnosis Pay account, freezes their card, or otherwise ceases to meet the eligibility criteria set out above, their participation in the CRC Rewards Program will automatically cease, and no further CRC Rewards will be calculated or distributed from that date. In addition, users may be disqualified from participating in the CRC Rewards Program if they breach these Terms.
5. Calculation of CRC Rewards
CRC Rewards will be calculated solely on the basis of eligible card transactions carried out by Users with the Gnosis Pay card during the Rewards Period.
All specific rate structures, tier eligibility, weekly caps, NFT bonuses, and any other program details will be set out and updated solely as published on the App. Users are responsible for reviewing the latest terms and tiers before participating.
CRC Rewards may be capped at a maximum eligible rewards threshold for a specified period (e.g. weekly/monthly) as published on the App. Such threshold may be capped on an individual or collective basis. No additional CRC Rewards will be awarded to Users for transactions carried out once the rewards threshold for the specified period has been reached.
The calculation, determination, and distribution of any CRC Rewards are and shall remain subject at all times to: (a) the User’s ongoing satisfaction of all eligibility requirements, (b) the continued availability of sufficient funds in the CRC Rewards Pool, and (c) our sole and absolute discretion. For the avoidance of doubt, Users acquire no right, title, or entitlement to any CRC Rewards unless and until such distribution has been actually made to their Safe wallet.
Any token obtained through bad trading practices, including but not limited to wash trades, false trading, self-dealing, or trades that display any attributes of manipulation (“Token Top-Up Manipulation”) will not be counted towards the Token Holding of the User for the purposes of calculating their CRC Rewards.
Any card transactions, or activities in relation to the CRC Rewards Program, that constitute manufactured spending, refund cycling, account churning, misleading purchases, cooperation with merchants, self-funding, or other activities that display attributes of an attempt to game or manipulate the CRC Rewards Program (“Transaction Manipulation”) will not be counted towards the card transaction amounts of the User.
In addition to the activities described in the Transaction Manipulation paragraph above, certain card transaction types are specifically excluded from accruing CRC Rewards. These ineligible transactions may include, but are not limited to, cash advances, balance transfers, gambling activities, and purchases of currency or financial products. A comprehensive list of ineligible card transactions, which is subject to change, will be set out and updated solely as published on the App and/or the Site.
Any person engaging in TokenTop-Up Manipulation, Transaction Manipulation, or otherwise trying to game, exploit, maliciously manipulate the CRC Rewards Program (“CRC Rewards Program Manipulation”) to increase their rewards or reduce anyone else’s will not receive the CRC Rewards and will be blacklisted from any future participation in this CRC Rewards Program and any future reward program, as determined by us acting in our sole and absolute discretion.
6. Distribution of CRC Rewards
CRC Rewards will be automatically distributed in CRC tokens on Gnosis Chain to the User’s Safe wallet connected to the App. CRC rewards will be distributed at the intervals stated on the App.
Any User who is reasonably found to be either failing to meet the CRC Rewards Program eligibility criteria or who is engaging in or attempting to engage in CRC Rewards Program Manipulation will not be sent any CRC Reward, and may suffer the consequences further set out in section 5 above.
ANY VIOLATION OF THESE TERMS BY USER WILL RESULT IN SUCH USER’S DISQUALIFICATION FROM RECEIVING ANY CRC REWARDS AND PARTICIPATION IN THIS CRC REWARDS PROGRAM WILL BE IMMEDIATELY TERMINATED. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CRC REWARDS PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, WE RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
7. Refunds
If a User receives a refund on a card transaction, any CRC Rewards will be suspended until the total amount of CRC Rewards corresponding to the refunded amount has been offset. This means that the User will not receive any new CRC Rewards until the value of the CRC Reward from the refunded amount has been fully accounted for by new CRC Reward accrual calculations on eligible card transactions. This is without limitation to any measures we may take against the User if the User is found to be engaging in CRC Rewards Program Manipulation.
8. Disclosure of Risks
You understand and accept that blockchain protocols, digital assets, and associated transactions present significant risks, including but not limited to market volatility, software vulnerabilities, cybersecurity risks, irreversible transactions, and regulatory uncertainty. You should only participate in the CRC Rewards Program if you are financially and technically sophisticated enough to evaluate and accept such risks.
We do not operate or control any blockchain protocols, execute protocol upgrades, or approve or process transactions on your behalf. All blockchain transactions are irreversible. You must carefully check transaction details, including amounts and recipient addresses, before signing or authorizing any transaction. We disclaim all liability for losses or errors related to blockchain transactions.
Rewards and other benefits in connection with our services are subject to ongoing availability of funds, program discretion, and can be modified, suspended, or terminated at any time without notice.
Costs and speeds of blockchain transactions may vary dramatically and are outside our control. You accept that gas fees and other network costs may increase without warning.
Participation in the CRC Rewards Program does not create any form of trust, agency, partnership, or fiduciary relationship between you and us or any of our related entities.
9. Limitation of Liability
THE CRC REWARD PROGRAM IS OFFERED AND PROVIDED “AS IS” WITH NO WARRANTY OR GUARANTEE BY US OR ANY OF OUR RELATED ENTITIES, EITHER EXPRESS OR IMPLIED.
IN NO EVENT WILL WE OR ANY OF OUR RELATED ENTITIES BE LIABLE TO ANY USER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH A USER’S PARTICIPATION IN THE CRC REWARDS PROGRAM, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT THE WE OR ANY OF OUR RELATED ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
EACH USER ASSUMES ALL LIABILITY FOR ANY INJURY OR DAMAGE CAUSED, OR CLAIMED TO BE CAUSED, BY PARTICIPATION IN THE CRC REWARDS PROGRAM, OR THE ACCEPTANCE, RECEIPT, OR USE OF THE CRC REWARD.
EACH USER FURTHER AGREES THAT IN ANY CAUSE OF ACTION ARISING UNDER OR IN CONNECTION WITH THESE TERMS, OUR AND ANY OF OUR RELATED ENTITIES’ LIABILITY WILL BE LIMITED TO THE VALUE OF THE CRC REWARDS DISTRIBUTED TO THE USER DURING THE PARTICULAR CRC REWARDS PROGRAM.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO USERS IN SUCH JURISDICTIONS.
10. Indemnification
By participating in the CRC Rewards Program, each User agrees to indemnify, defend, and hold us and our related entities harmless, from any and all liability, for any claims, damages, injuries or losses of any kind, and to release all rights to bring any claim, action or proceeding arising out of, in connection with, or relating to participation in the CRC Rewards Program or receipt of any CRC Reward. .
11. No Assumption of Responsibility for Force Majeure
We and our related entities are not responsible if the CRC Rewards Program cannot take place or is delayed, or if the CRC Reward cannot be distributed or is delayed, interrupted or fails due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of our or any of our related entities’reasonable control.
12. Amendments and Clarifications
We reserve the right, in our sole discretion and at any time, to suspend, extend, renew, modify, or terminate the CRC Rewards Program, or to change, amend, or update these Terms, in whole or in part, with or without notice and for any reason, including but not limited to operational, strategic, or regulatory considerations, or depletion of the CRC Reward Pool. Any such modifications or clarifications shall take effect upon publication on the App and/or Site. Users acknowledge and accept that participation and accrual of rewards under the CRC Rewards Program is subject at all times to our ongoing discretion and may cease with immediate effect

14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands.
In the event of any dispute in connection with the CRC Rewards Program or these Terms, we reserve the right to make all final decisions regarding the CRC Rewards Program, in our sole and absolute discretion.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration clause set out in the Terms of Service which govern your use of the App and our Services.
15. Tax and Regulatory
CRC Rewards may be taxable, depending on the country, state, and/ or local tax laws applicable to the User. Users are solely responsible for reporting such items in their tax returns and paying any associated tax(es), duties, levies and liabilities.
We do not provide legal, tax, or financial advice. CRC Rewards and any digital assets you receive may be subject to regulatory, or other legal implications in your jurisdiction. You are solely responsible for complying with all applicable laws and reporting requirements.
16. No Financial Advice
Nothing contained herein or in relation to the CRC Rewards Program shall be construed to be financial advice. Holding and transferring crypto assets involves a high degree of risk and there is always the possibility of loss, including the loss of all digital assets in the event of a mistaken transfer (whether to an incorrect address or an incorrect chain). Please seek professional advice before making any financial, investment, or trading decisions.
17. No Third Party Rights
Except as otherwise set forth herein, these Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to this agreement.
18. Entire Agreement
These Terms constitute the entire agreement between us and the User in relation to its subject matter. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. In the event that any provision of the Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Our failure to enforce any term of these Terms will not constitute a waiver of that term or any other provision of these Terms.
